Protecting Family, Preserving Legacy

Succession is not merely about property. It is about legacy, dignity, and the orderly transition of responsibility from one generation to the next. When succession is not properly managed, families often find themselves entangled in painful disputes, prolonged litigation, and irreversible loss of wealth.

In Kenya, succession law is governed by the Law of Succession Act (Cap 160) and interpreted by courts to ensure fairness, protection of dependants, and lawful distribution of estates. Whether one leaves a will or not, the law provides a structured process to ensure that no estate is left vulnerable to abuse, fraud, or injustice.

At Mutheu & Co. Advocates, we view succession as both a legal process and a family governance function, one that must be handled with technical precision and human sensitivity.

What Constitutes an Estate?

A deceased person’s estate includes all property legally owned at the time of death, including:

  • Land and real estate
  • Businesses and shares
  • Bank accounts and investments
  • Motor vehicles
  • Intellectual property and valuable personal effects

Some assets, such as insurance proceeds, pensions, or trust property, may pass outside succession where valid nominations exist. However, most property in Kenya forms part of the estate and must be administered through court.

Two Types of Succession

1. Testate Succession (Where There Is a Will)

A will allows a person to control how their wealth is distributed, who manages it, and how their family is protected. Courts uphold valid wills and appoint the executors named therein.

However, Kenyan law ensures that even in testate estates, dependants cannot be unjustly excluded. Where reasonable provision has not been made for a spouse or child, the court has power to intervene.

2. Intestate Succession (Where There Is No Will)

Where no will exists, the law determines how the estate is shared. This is where most disputes arise.

The law prioritizes:

  • Spouses
  • Children
  • Parents
  • Siblings and extended family

In polygamous families, each household is considered separately, with distribution based on the number of children and surviving spouses.

The Grant of Representation: Legal Authority Over the Estate

No person has the right to deal with a deceased person’s property unless they obtain a Grant of Representation from the court. This grant is either:

  • Probate (where there is a will), or
  • Letters of Administration (where there is none)

Without a grant, any transfer, sale, withdrawal of money, or dealing with estate property is illegal and void.

The Succession Process

Succession in Kenya follows a structured legal process:

  1. Filing a petition in court
  2. Gazettement to invite objections
  3. Issuance of a grant
  4. Identification and protection of assets
  5. Confirmation of the grant after six months
  6. Lawful distribution to beneficiaries

This process protects beneficiaries from fraud, disinheritance, and exploitation. Kenyan law protects all children equally and safeguards spouses regardless of marital structure but only when the law is properly invoked.

Estate Planning: The Most Powerful Protection

Writing a will is not about death; it is about responsibility. A well-crafted estate plan:

  • Prevents conflict
  • Protects minors
  • Preserves wealth
  • Ensures business continuity
  • Keeps your family out of court

Those who plan leave their families with peace. Those who do not leave them with litigation.
